End User License Agreement for Avular software

1. Introduction

Please read this End User License Agreement (“EULA”) carefully, as it provides information on the license(s) to use software and contains warranty information and liability disclaimers.


This EULA governs the use of any software and/or any updates to such software developed and provided by Avular Holding B.V. and/or any of its subsidiaries – e.g., Avular Innovations B.V., Avular Autonomy B.V., and Avular Robotics B.V. (“Software” and “Avular”). By clicking to agree or accept or otherwise indicating your acceptance of this EULA, or by installing or using (updates to) Software, you agree to the terms of this EULA. If you do not agree to these terms, you may not install or use Software.

2. Software License

Software is licensed to you, not sold, under the terms of this EULA. This license is non-transferable and non-exclusive. Avular reserves all rights not expressly granted under this EULA.

3. Permitted License Uses and Restrictions

This EULA allows you to:

  • Use Features of Software as per the relevant purchasing agreement with Avular;
  • Load Software on Avular's hardware and robotic platforms;
  • Load Software on a PC, laptop, mobile, or tablet under your control;
  • Update Software with updates provided by Avular;
  • Use Software to create your own software on Avular hardware if allowed by the relevant agreement.

You are not permitted to:

  • Use Features of Software not paid for as per the purchasing agreement with Avular;
  • Use Software with non-Avular hardware;
  • Share a single license on multiple devices simultaneously;

4. Warranty Disclaimer

Software is provided 'as is,' without support or maintenance of any kind. Avular does not warrant that Software will perform as per specifications, be error-free, or provide complete or accurate data.

5. Exclusion and Limitation of Liability

Avular, its agents, licensors, or suppliers shall not be liable for any misuse or reliance on Software. Under no circumstances will they be liable for actual, direct, or consequential damages, including lost profits or savings.

6. Third Party Components

Third-party software components (“Third Party Software”) are provided as is. You agree to review and comply with terms of the Third Party Licenses.

7. Copyright Infringement

In the event of a third-party claim that Software infringes any intellectual property rights, you will notify Avular promptly. You may not settle any Infringement Claim without Avular’s consent.

8. Changes, Suspension, Limitation, and Termination

This EULA is effective from your first use of Software until terminated. Avular may change or terminate any Software features or functionality at any time without liability.

9. Applicable Law and Disputes

This EULA and any dispute arising out of it are governed by Dutch law and subject to the District Court of East Brabant.
